All prices listed in this catalog are subject to change without notice. Retailers will be notified via email regarding updates to the product catalog as well as new items that are added to the catalog throughout the year.

This catalog is intended for the exclusive use of retailers of musical instruments, & accessories. Possession of this catalog by others does not constitute an offer to sell.

Sound Smith will allow the use of photographs, illustrations and written text contained herein by its music dealers to promote Sound Smith products only. Use by any others, including all manufacturers and distributors, is prohibited. We reserve the right to correct typographical errors.

No shipments will be completed without prior credit approval. Unless otherwise specified, shipping charges are the responsibility of the buyer. We offer the following payment options: Check, Visa, Mastercard, Paypal, Discover & American Express.

Remittance of Payment: Payments for goods must be remitted at the time of delivery or within 14 days of delivery as discussed with your sales rep.

Consignment & financing options are available if longer payment terms are desired. Contact your Sound Smith representative for more details.

Liability

Dealer agrees to indemnify and hold harmless Sound Smith, its officers, directors and affiliates from and against any and all claims, liabilities, damages, costs or expenses incurred (directly or indirectly), or in any way arising as a result of dealer’s performance of this agreement or its sale of products.

In the event the dealer shall default in any obligation to make payment for Products sold, Sound Smith shall have the right to recover from dealer all money owed, together with interest thereon at the highest legal rate and dealer grants Sound Smith the right to enter dealer’s place of business and to repossess all products for which payment has not been made in a timely fashion with or without legal process. In such event, dealer agrees that title to such products shall revert back to Sound Smith.

Dealer shall indemnify and hold harmless Sound Smith from and against any and all reasonable costs incurred by Sound Smith in obtaining such payment or repossession from dealer, including, but not by way of limitation, reasonable collection costs and attorneys’ fees.

Liability Warranty Claims:
Dealer’s sole and exclusive remedy for any claims against Sound Smith for matters arising under or relating to this Agreement or for claims with respect to any Product shall be limited to the extent of the written warranty applicable to such Product and Sound Smith’s liability to the dealer for any and all claims of any nature whatsoever, regardless of how arising, shall not exceed the cost of returning and replacing the product involved or previously sold to the Dealer. Sound Smith will not be liable for incidental or consequential damages of any nature whatsoever relating to any product of claim against Sound Smith by dealer.

Return Policy

Products may be returned within 30 days with the original packaging in the new unblemished condition they were received. Sound Smith will not be responsible for shipping or insurance charges associated with returns.

Refunds (if applicable) will be processed within 3 business days of receiving the returned items.

Returns beyond 30 days of purchase will be refunded subject to a 15% restocking fee.

Defective goods will be repaired or exchanged as warranted. A detailed description of the defect is required for all returned items. Providing this information assists us in improving our products and service. Contact us and we will gladly work with you to solve any problems as effectively as possible.

New & Used Products/Pricing:
Sound Smith products sold as anything other than new must be identified as used and will subsequently not be covered by the corresponding Sound Smith brand’s warranty. Dealers may have Sound Smith products in their inventory that have served as display models or have been returned by consumers. Such products may still qualify as new, yet exhibit minor wear, and as a result, dealers may be unable to present these items as unblemished or in factory condition. In such cases, dealers may advertise these products at up to 20% off MAP provided such advertisements clearly state the condition of the product. Advertisements of this nature should also be designated with a condition code of “New Other” where the option is available to distinguish the product from other first quality goods. Phrasing such as, “scratch and dent”, “floor model”, “demo model”, or similar phrases must be clearly displayed in the item’s title/primary description. Additional information describing typical wear and tear of such items must also be included in the product’s listing. An item presented in such condition must be listed as a separate item from unblemished or factory sealed items. In cases where a product has been displayed, returned, box opened or otherwise, but the product exhibits no visible use wear and tear and can be returned to original packaging, Dealers must advertise these products as new.

Trademarks

Dealer acknowledges the validity of Sound Smith’s trademarks, trade names and patent rights and agrees not to take any action which would in any way reduce, misappropriate or in any other way adversely affect such rights.
